This End User License Agreement (“Agreement”) is a legally binding agreement between you (“Licensee,” “User,” or “Purchaser”) and Construction Equipment Guide, Inc., owner and operator of HeavyEquipmentData.com (“Company,” “we,” “us,” or “our”).

By purchasing, downloading, or accessing any data, specifications, charts, or related materials from HeavyEquipmentData.com (the “Data Library”), you agree to be bound by the terms of this Agreement.

If you do not agree to these terms, do not purchase, download, or use the Data Library.

1. Ownership

   All content available through HeavyEquipmentData.com, including but not limited to:

   • Equipment specifications
   • Technical data
   • Charts and comparison tables
   • Databases
   • Formatting, organization, and compilation of information

   (collectively, the “Data Library”) is owned exclusively by Construction Equipment Guide, Inc. and is protected by United States copyright, database, trade secret, and intellectual property laws.

   This Agreement grants a license to use the Data Library — not a transfer of ownership.

   Database: The structure, organization, selection, coordination, and compilation of the Data Library constitute proprietary intellectual property and trade secrets of Construction Equipment Guide, Inc. Systematic extraction of substantial portions of the Data Library is strictly prohibited.

2. License Grant

   Upon purchase, Company grants Licensee:

   • A non-exclusive
   • Non-transferable
   • Non-sublicensable
   • Limited license

   to:

   1. Access and download the entire Data Library for a period of one (1) calendar year from the date of purchase (the “Access Term”).
   2. Use the Data downloaded during the Access Term in perpetuity, subject to the restrictions of this Agreement.

3. Access Term and Updates

   During the one-year Access Term:

   • Licensee may download the entire Data Library.
   • Licensee will receive access to any updates, corrections, or additions made to the Data Library during that period.
   • Updated materials may be downloaded during the active Access Term.

   After expiration of the Access Term:

   • Licensee will no longer have download access to new updates.
   • Licensee may continue to use any Data properly downloaded during the Access Term indefinitely.

   Renewal is required to receive future updates.

4. Permitted Uses

   Licensee may:

   • Use the Data internally within their organization.
   • Incorporate Data into internal analysis, reporting, and operational materials.
   • Reference the Data in sales, marketing, or editorial materials, provided it is not redistributed as a standalone competing database.

5. Prohibited Uses

   Licensee may NOT:

   • Resell, sublicense, lease, or redistribute the Data Library as a standalone product.
   • Publish the Data Library in bulk on a public website, database, or SaaS platform.
   • Provide the full Data Library to third parties.
   • Reverse engineer, scrape, replicate, or create a competing database derived substantially from the Data Library.
   • Share login credentials or grant download access to unauthorized parties.
   • Use the Data to build a directly competing specification database.

   Any unauthorized distribution or commercial exploitation is strictly prohibited.

6. No Warranty

   The Data Library is provided “AS IS” and “AS AVAILABLE.”

   Company makes no warranties, express or implied, including but not limited to:

   • Accuracy
   • Completeness
   • Merchantability
   • Fitness for a particular purpose
   • Non-infringement

   Equipment specifications may change without notice, and Licensee assumes full responsibility for verifying information prior to reliance.

7. Limitation of Liability

   To the maximum extent permitted by law: Construction Equipment Guide, Inc. shall not be liable for:

   • Indirect damages
   • Consequential damages
   • Lost profits
   • Business interruption
   • Data loss

   Company’s total liability shall not exceed the amount paid by Licensee for access during the twelve (12) months preceding any claim.

8. Indemnification

   Licensee agrees to indemnify and hold harmless Construction Equipment Guide, Inc. from any claims, damages, liabilities, or expenses arising from:

   • Improper use of the Data Library
   • Unauthorized redistribution
   • Violation of this Agreement

9. Termination

   Company reserves the right to suspend or terminate access during the Access Term if Licensee:

   • Violates this Agreement
   • Engages in unauthorized redistribution
   • Uses the Data in a manner that competes directly with HeavyEquipmentData.com

   Termination does not affect the perpetual license for properly downloaded materials unless the termination was due to material breach.

10. Governing Law

    This Agreement shall be governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Pennsylvania.

11. Modifications

    Company reserves the right to update or modify this Agreement at any time. Continued use of HeavyEquipmentData.com after modifications constitutes acceptance of the revised Agreement.

12. Entire Agreement

    This Agreement constitutes the entire agreement between Licensee and Construction Equipment Guide, Inc. regarding the Data Library and supersedes all prior agreements or understandings.
